The objective of the association is the development of the comparative law in the Czech Republic. To this purpose, the association shall in particular:

• translate foreign and European legislation and scientific publications,
• conduct research in the domain of comparative law,
• organise colloquiums and conferences,
• publish a gazette,
• establish and develop relations with foreign scientific public,
• co-operate with legislation bodies.

The association is entitled to conduct all activities necessary to the accomplishment of its objective.

Any natural or legal person approved by the chairman may become member of the association. Members of the association shall pay a membership fee annually. The minimal amount of the membership fee shall be set forth by the Assembly of members of the association. Members are entitled to control the operations of the association. To this purpose, the statement of account, the annual report and the budget for the following year shall be submitted to the Assembly of members of the association annually for its approval. Members are also entitled to inspect the accountancy of the association.

The Chairman of the association is prof. JUDr. Irena Pelikánová, CSc.

The Chairman:

• represents the association with third persons,
• has the right of disposal of the bank account of the association,
• decides on the usage of resources within the limits of the budget,
• submits the budget for the following year to the Assembly of members of the association,
• submits the statement of account to the Assembly of members of the association,
• submits the annual report on association’s activities to the Assembly of members of the association,
• approves new members of the association,
• appoints and recalls members of the Council of the association,
• decides on organisational matters of the association,
• empowers individual members of the association for the accomplishment of tasks related to their functions.

The function of Chairman is honorary and gratuitous.

The number of members of the Council is set forth by the Chairman. Members of the Council are not obliged to pay the membership fee. Members of the Council shall, following their capacities and possibilities, aim at the accomplishment of the objective of the association and fulfil instructions given to them by the Chairman to this purpose. Members of the Council may be remunerated from the resources of the association for their activity.

Members of the association meet at the Assembly of members of the association at least once per year. The date, time and place of such Assembly must be notified to members at least one month in advance. The Assembly decides by a simple majority of members present. It may adopt decisions only in presence of the Chairman or of his proxy. The Assembly decides in particular upon:

• the approval of the annual report,
• the approval of the budget for the following year,
• the amount of the membership fee for the following year,
• amendments to these Statutes.

Any amendment to these Statutes is subject to approval by the Chairman or by his proxy.

The association gains resources by its activities and from gifts, grants and membership fees. The association uses its resources to fund its activities and for purposes set forth by Article 6 of these Statutes. A bank account of the association shall be opened. The Chairman shall have the disposition right to this account; he may eventually extend his right to other persons.

In case of the termination of the association, members shall decide upon the residual assets of the association. Their decision is subject to the approval of the Chairman.
